Terms of sale

1. Who we are and what these terms are for

The Semence service is provided by LTD DIGICOM, a French SASU (single-shareholder simplified joint-stock company) with a share capital of €1,000, registered in Paris under number 953 563 558, 151 rue de Bagnolet, 75020 Paris, France (“we”). Contact: [email protected].

These terms apply to anyone, business or consumer, who creates an account or subscribes to a plan (“you”). They are accepted when the account is created and at each subscription.

2. The service

Semence turns the videos you upload (file or link) into short captioned clips: transcription, selection of highlights by artificial intelligence, framing, captions, editing and a retouching studio. The service is available online, with nothing to install.

How long we keep your files. To keep the service fast and protect your content, Semence does not keep files indefinitely. On the free plan, the original video is deleted from our servers 48 hours after upload and clips are deleted 7 days after they are created. On a paid plan, the original video is deleted 30 days after you last opened the project and clips are deleted 90 days after they are created. We email you before each deletion. Once the original video is deleted, the remaining clips can still be viewed and downloaded but can no longer be edited in the studio. It is your responsibility to download and back up your clips; deletion at the end of these periods is final and files cannot be restored.

3. Plans and prices

The plans currently offered are the following (prices excluding VAT, VAT added at the applicable rate):

Extra credits: 100 credits for €7.99 excl. VAT.

The number of clips edited in advance for each video depends on the plan: 3 (Free), 10 (Essential), 15 (Pro) or 20 (Team). The other passages found are suggested and can be edited on demand, at no extra credit, up to a maximum number of suggestions per video that depends on the plan: 10 (Free), 15 (Essential), 20 (Pro) or 20 (Team). The free plan produces clips in vertical format.

These numbers are maximums per video, not a guaranteed result: Semence only keeps passages it considers strong enough to post, and their number depends on the length, sound quality and content of the video provided. The price is based on the length of uploaded video, not on the number of clips obtained.

The applicable price is the one displayed on the day of subscription. Our prices and the content of our plans may change. For existing subscriptions, any increase is notified to you by email at least 30 days before it takes effect and only applies from the first monthly renewal after that notice period; you may cancel before then, at no cost, and keep the old price until that date. If you do not cancel, the new price is deemed accepted. A price decrease applies immediately.

4. Credits and video minutes

• 1 credit equals 1 minute of uploaded video. The length is rounded up to the next minute, with a minimum of one credit per video. If you only upload an excerpt, only its length counts. The clips produced are not counted.
• The free plan includes 60 minutes of video per calendar month; the counter resets on the 1st of each month and unused minutes do not roll over. Free plan clips carry the Semence watermark.
• The credits of a paid plan are added to your account for each paid month. Unused credits remain available as long as your account is open. They have no monetary value and are neither refundable nor transferable.
• If processing a video fails for a reason attributable to us, the credits or minutes used are returned to you. The same applies if a video gives no usable clip at all: on simple request to [email protected] within 30 days, its credits or minutes are returned to you.

5. Payment and invoicing

Paid plans are payable monthly and in advance. Online payment is made by card on the secure page of our payment provider Stripe: we never have access to your card number. The subscription is then charged automatically every month on its anniversary date. Bank transfer is available on request.

Prices exclude VAT. French VAT (20%) applies to customers located in France. Businesses established in another European Union country that provide a valid intra-EU VAT number are invoiced excluding VAT (reverse charge, article 196 of Directive 2006/112/EC). Customers outside the EU are invoiced according to the rules applicable to their country. An invoice is issued for each payment: it is emailed to you and remains downloadable in “My account”. You can add your company name and VAT number at checkout.

If you change plans during the month, the price difference is prorated for the remaining time and charged immediately (or deducted from the next invoice if the new plan is cheaper). If a payment fails, we notify you by email and new attempts are made automatically over a few days.

In case of late payment, access to paid features may be suspended after an unanswered reminder. For business customers, any delay automatically incurs penalties at the European Central Bank rate plus 10 points, as well as a fixed €40 recovery fee (articles L441-10 and D441-5 of the French Commercial Code).

6. Term and cancellation

Plans have no minimum term and renew every month. You can cancel at any time from “My account” (“Manage my subscription” button) or by writing to [email protected]: cancellation takes effect at the end of the month already paid, without refund of the current period. Your account then returns to the free plan and your remaining credits are kept.

You can request the deletion of your account at any time from “My account”. We may suspend or close an account in case of serious breach of these terms, after informing you except in an emergency.

7. Right of withdrawal (consumers)

If you are a consumer, you have 14 days after subscribing to withdraw, by writing to [email protected]. If you ask to use the service before the end of this period, you expressly accept it: the amount corresponding to the service already provided (credits used) remains due, and the right of withdrawal no longer applies once the service has been fully performed (articles L221-25 and L221-28 of the French Consumer Code).

8. Your commitments

You warrant that you hold the rights to the videos you upload and that you have the consent of the people who appear in them for their distribution. You agree not to upload unlawful, hateful content or content infringing the rights of others. You are responsible for the clips you publish: review them before posting.

9. Ownership

Your videos and the clips produced remain your property. You authorize us to process them only to provide the service. The Semence software, its brand and its content remain the property of LTD DIGICOM.

10. Availability and liability

We do our best to keep Semence available and working properly, without being able to guarantee a total absence of interruption or error. The choices and scores suggested by artificial intelligence are suggestions. For business customers, our liability is limited to the amounts paid over the last 12 months and excludes indirect damages (loss of audience, revenue…). These limits do not apply in case of gross or intentional misconduct.

11. Personal data

The processing of your data is described in our privacy policy.

12. Complaints and mediation

For any complaint, write to us at [email protected]: we answer within 15 days. If you are a consumer and the dispute is not resolved, you can refer it free of charge to the consumer mediator.

13. Governing law

These terms are governed by French law. For business customers, any dispute falls under the courts of Paris. Consumers may refer the matter to the court of their place of residence.
